Service Agreement

Terms of Sale for Courses, Sessions, Programs, Webinars, and Subscriptions


1. Parties and Scope


This Service Agreement ("Agreement") governs the purchase and provision of all paid services and digital products offered by Mind and Soul Institute Corp, a Texas corporation with its address at 5900 Balcones Drive STE 100, Austin, TX 78731, USA ("Company", "we", "us"), through the website https://mindandsoul.institute/ (the "Website") to the individual placing an order ("Client", "you"). This Agreement supplements our Terms and Conditions and incorporates our Refund and Cancellation Policy and Privacy Policy. Where this Agreement conflicts with the Terms and Conditions in relation to paid services, this Agreement prevails. Where the description of a specific service on its order page ("Service Page") states different terms (for example, a different access period or schedule), the Service Page prevails for that service.


2. Services


The Company offers the following categories of services (each, a "Service"; collectively, the "Services"):

  • Recorded Courses — pre-recorded online courses and other digital educational content available on demand;
  • Live Courses — online courses that include live (real-time) group lessons, with or without accompanying recorded materials;
  • Individual Sessions — one-on-one online sessions with the Company’s practitioner;
  • Programs — individual packages consisting of a defined number of Individual Sessions and, where stated, accompanying materials;
  • Paid Webinars — single live online events;
  • Meditation Library Subscription — a recurring subscription providing access to the Company’s collection of recorded meditations for as long as the subscription is active.

The specific content, format, number and duration of lessons or sessions, start date or delivery period, price, payment type (one-time or recurring), and access period for each Service are stated on the applicable Service Page and/or at checkout, and form part of the contract between you and the Company.


3. Nature of the Services — Important Disclaimer


The Services are educational and self-development services based on the Company’s proprietary method combining psychology-informed approaches, coaching, and spiritual (esoteric) practices, including meditation.


The Services are not healthcare. The Services do not constitute medical care, psychotherapy, psychological counseling, psychiatric treatment, or any other licensed healthcare or mental health service. The Company’s practitioners do not act as licensed physicians, psychologists, psychotherapists, or counselors in providing the Services, and no provider–patient or therapist–client relationship is created. The Services are not intended to diagnose, treat, cure, or prevent any medical or mental health condition and are not a substitute for professional advice, diagnosis, or treatment. Always seek the advice of a qualified health provider with any questions regarding a medical or mental health condition, and never disregard or delay seeking professional advice because of anything encountered in the Services.


Emergencies. The Services are not suitable for emergencies or crisis situations. If you are in crisis or experiencing thoughts of harming yourself or others, do not use the Services for help: in the United States, call or text 988 (Suicide & Crisis Lifeline) or call 911; elsewhere, contact your local emergency number or crisis service.


Personal responsibility; no guaranteed results. Participation in the Services is voluntary and at your own responsibility. Individual results vary and depend on factors outside the Company’s control, including your own engagement and circumstances. The Company does not warrant or guarantee any specific outcome, result, improvement, or transformation, whether emotional, psychological, spiritual, professional, or financial. Any testimonials or examples presented on the Website reflect individual experiences and are not a promise of similar results.


By purchasing a Service you confirm that you have read and understood this Section and that you are physically and mentally able to participate. If you are currently under the care of a mental health professional, we recommend consulting them before participating. 


4. Contract Formation


To purchase a Service you place an order through the Website by selecting the Service, reviewing the information on the Service Page and at checkout, accepting this Agreement and the related policies, and completing payment. The contract for a Service is concluded when the Company confirms the order by email or grants access to the Service, whichever occurs first. The Company may decline or cancel an order prior to delivery for legitimate reasons (for example, suspected fraud, pricing error, or unavailability); in that case any amounts paid for the cancelled order will be refunded in full.


5. Prices and Payment

All prices, applicable taxes, and the payment schedule are displayed on the Service Page and/or at checkout at the time of purchase. Payments are processed by Stripe; the Company does not store full payment card details. Unless expressly stated otherwise, prices are in U.S. dollars. Your payment provider may apply currency conversion or other fees. Access to a Service is conditioned on receipt of payment in full (or, for subscriptions and any installment plans, on timely payment of each due amount).


Installment plans (if offered). Where a Service Page offers payment in installments, the stated total price remains due in full regardless of your level of participation, and each installment is charged automatically on the schedule shown at checkout. If an installment payment fails and is not cured within 7 days of notice, the Company may suspend access to the Service until payment is received and/or declare the remaining balance due. An installment plan is a payment method, not a subscription, and does not entitle you to cancel the remaining payments while retaining the Service.


6. Delivery and Access


Recorded Courses and digital materials. Access is granted to your account within 24 hours of confirmed payment, unless a different start date is stated on the Service Page. Unless the Service Page states a different period, access to purchased Recorded Courses and course materials is provided for twelve (12) months from the date access is granted. The Company may update, improve, or replace individual course materials, provided the overall content and value of the Service is not materially reduced.


Live Courses and Paid Webinars. Dates and times of live lessons and webinars are stated on the Service Page. The Company may reasonably reschedule a live lesson or webinar with prior notice; if the Company cancels a live event without providing a replacement or recording of equivalent value, the affected part of the Service will be refunded. Where the Service Page states that recordings of live lessons are provided, access to recordings follows the access period of the Service.


Technical requirements. You are responsible for having the equipment and internet connection needed to use the Services. The Company is not responsible for failures caused by your equipment, software, or connection.


7. Individual Sessions and Programs


Scheduling. Individual Sessions are scheduled through the booking method indicated by the Company. Sessions purchased individually or as part of a Program must be used within 6 months of purchase unless a different validity period is stated on the Service Page; unused sessions expire at the end of the validity period, subject to the Refund and Cancellation Policy and your non-waivable statutory rights.


Rescheduling by you. You may reschedule a session free of charge by giving notice at least 24 hours before its scheduled start time. A session cancelled or rescheduled less than 24 hours before its start time, and any session you fail to attend (a "no-show"), is deemed used and is not refundable, except where the Refund and Cancellation Policy or mandatory law provides otherwise. Arriving more than 20 minutes late to a session may be treated as a no-show.


Rescheduling by the Company. If the Company needs to reschedule a session, you will be offered a replacement time; if no reasonable replacement can be agreed, the affected session will be refunded.


Programs. A Program is a package of sessions sold at a package price. The number of sessions, any included materials, and the overall duration of the Program are stated on the Service Page. Early termination of a Program is governed by the Refund and Cancellation Policy.


8. Meditation Library Subscription

Automatic renewal. The Meditation Library Subscription is offered as a monthly plan and a semi-annual (6-month) plan. Your subscription renews automatically at the end of each billing period, and the payment method you provided is charged the then-current subscription price at the start of each new period, until you cancel. The price, billing frequency, and date of the first charge are shown at checkout before you subscribe, and your express consent to the automatic renewal is collected at checkout.

Cancellation. You may cancel at any time, effective at the end of the current billing period, through your account settings on the Website or via the cancellation link provided in subscription emails — cancellation online is available by at least the same method used to subscribe. To avoid being charged for the next period, cancel before the current period ends. After cancellation you retain access until the end of the paid period. Except where the Refund and Cancellation Policy or mandatory law provides otherwise, fees already paid for the current period are not refunded.


Price changes. The Company may change subscription prices with at least thirty (30) days’ prior notice by email; the new price applies from your next renewal after the notice period. If you do not agree, cancel before the renewal.


Free content. Free sample meditations made available on social media or otherwise are provided "as is", are not part of the paid subscription, and may be changed or withdrawn at any time.


9. Client Obligations

  • provide accurate and complete information when ordering and, where applicable, in intake forms;
  • be at least 18 years old;
  • use the Services and all materials only for personal, non-commercial purposes;
  • not share your account, access links, or materials with any third party;
  • not record live sessions, lessons, webinars, or group events without the Company’s prior written consent;
  • treat other participants and the Company’s staff with respect, and keep confidential any personal information shared by other participants in group settings;
  • attend scheduled sessions and live lessons on time.

The Company may exclude from a group event, suspend, or terminate the Services of a Client who materially breaches these obligations, harasses other participants or staff, or disrupts the Services; the consequences for paid amounts are set out in the Refund and Cancellation Policy.


10. License to Materials; Intellectual Property

All courses, meditations, recordings, methods, texts, workbooks, and other materials provided within the Services ("Materials") are and remain the intellectual property of the Company or its licensors. Subject to payment and compliance with this Agreement, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Materials for your personal, non-commercial purposes during the applicable access period. You may not copy, download (except where a download function is expressly provided), record, distribute, publish, resell, translate, or create derivative works from the Materials, or use them to create or deliver competing products or services. Breach of this Section entitles the Company to terminate access without refund (to the extent permitted by law) and to seek damages and injunctive relief.


11. Recordings and Participant Appearance

Live group lessons and webinars may be recorded by the Company for provision to participants and for internal purposes. By participating with your camera or microphone on, or by asking questions in a recorded event, you consent to appearing in such recordings made available to other participants of the same Service. The Company will not use recordings featuring you for marketing purposes without your separate consent. Individual Sessions are not recorded unless both parties agree in advance.


12. Refunds, Cancellations, and Withdrawal Rights


Refunds, cancellations, rescheduling consequences, and statutory withdrawal rights (including the 14-day withdrawal right of consumers in the European Union and United Kingdom and its waiver for digital content) are governed by the Refund and Cancellation Policy, which forms part of this Agreement. Nothing in this Agreement limits any consumer right that cannot be waived under the law of your country of residence.


13. Warranties and Limitation of Liability

The Company warrants that it will provide the Services with reasonable skill and care and materially as described on the applicable Service Page. Subject to that, and to the maximum extent permitted by applicable law, the disclaimers and the limitation of liability set out in Sections 12–13 of the Terms and Conditions apply to this Agreement, and the Company’s total aggregate liability in connection with a given Service is limited to the price paid by you for that Service. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence or for fraud, or affects statutory guarantees owed to consumers.


14. Governing Law and Disputes

This Agreement is governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. Disputes are resolved as set out in Section 16 of the Terms and Conditions (informal resolution, then binding individual arbitration with a class action waiver), subject to the exceptions and the EU/UK consumer provisions stated there. If you are a consumer habitually resident in the EU or the UK, you benefit from the mandatory consumer protections of your country of residence and may bring proceedings in its courts.


15. General

The provisions of Section 18 (General Provisions) and Section 19 (Changes) of the Terms and Conditions apply to this Agreement. Changes to this Agreement do not affect Services already purchased, except with your consent or where the change is required by law.
